Schedule C: VSOTB Luxury Service Deliverables

As the premiere service delivery vehicle of the Viable Arts Alliance, Virginia Sounds of the Bay (VSOTB) guarantees the following deliverables. These agreement services take effect immediately upon execution, comprehensively covering retroactive awardees and legacy transitions.

  • Ceremonial & Luxury Hospitality: The first ceremonial performance services shall commence no more than six (6) months from the start of the contract to ensure venue, marketing, and award and honor due diligence has valued process time. These are luxury services that include grandiose hospitality with dignified formalitiesโ€”from the beginning of this process to the last drum beat of the night.
  • Priority Festival Access: Unrestricted VIP access and employee ticket allocations for the Virginia Beach Competitive Arts Festival (VB-CAF) and VSOTB ensemble performances.
  • Corporate Workshops: Health and wellness tools and mechanisms that corporate partners can implement to improve workplace morale and environment, led by the VSOTB health and wellness team.
  • Impact Reporting: Quarterly transparency reports detailing the pipeline progression of local youth supported by the Sound Achievement Foundation (SAF) metrics.

Schedule D: Legal & Statutory Framework

1. Corporate Charitable Compliance (Federal & State): All amounts contributed under this Agreement qualify as charitable contributions to the Sound Achievement Foundation (SAF), a Virginia-domiciled 501(c)(3) tax-exempt organization. Contributions are tax-deductible to the extent permitted under Internal Revenue Code ยง 170(c)(2) and the Virginia Corporate Charitable Contribution Law.

2. Governance & Non-Waiver: This Agreement is governed by the laws of the Commonwealth of Virginia, specifically the Virginia Nonstock Corporation Act (ยง 13.1-801 et seq.) as it applies to JMME and SAF operations. Either party may terminate with ninety (90) days' written notice after the conclusion of the initial commitment year. Force majeure events (including pandemics, natural disasters, or municipal mandates) may suspend performance obligations but shall not void established pricing structures.

3. Labor & Data Privacy Standards: Participation in VAHAS events adheres to Fair Labor Standards Act (FLSA) guidelines regarding employee voluntary off-hours participation. Employee data provided for festival logistics, ticketing, and VAA ecosystem access will be securely held by JMME/VSOTB and shall not be sold or distributed to third parties, strictly abiding by current US data privacy norms.
