SPONSORSHIP AGREEMENT This Sponsorship Agreement ("Agreement") is entered into as of August 30, 2026 (the "Effective Date"), by and between: SPONSOR: ("Sponsor") and EVENT ORGANIZER: Viable Arts LLC, a Virginia limited liability company, 100 Oceanfront Drive, Virginia Beach, Virginia 23451 ("Organizer") RECITALS WHEREAS, Organizer is producing the Virginia Beach Competitive Arts Festival ("Event") scheduled for , at , Virginia Beach, Virginia; and WHEREAS, Sponsor desires to sponsor the Event and Organizer desires to accept such sponsorship on the terms and conditions set forth herein; NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows: 1. SPONSORSHIP COMMITMENT Sponsor agrees to provide financial support in the amount of $ ("Sponsorship Fee"), payable in accordance with Section 3 below. 2. SPONSORSHIP BENEFITS In consideration of the Sponsorship Fee, Organizer grants Sponsor the following: (a) Prominent logo placement on all event marketing materials; (b) Recognition in all digital and print programs; (c) Speaking opportunity at the Event (Title Sponsor only); (d) Complimentary VIP passes as mutually agreed; (e) Social media recognition across all Viable Arts platforms. 3. PAYMENT TERMS The Sponsorship Fee of $ shall be paid as follows: (a) 50% ($0.00) due within 14 days of execution of this Agreement; (b) 50% ($0.00) due no later than 30 days prior to the Event date. Payments shall be made via check payable to "Viable Arts LLC" or wire transfer per instructions provided by Organizer. 4. USE OF SPONSOR'S MARKS Sponsor grants Organizer a limited, non-exclusive license to use Sponsor's name, logo, and trademarks solely in connection with promotion of the Event. 5. REPRESENTATIONS AND WARRANTIES Each party represents and warrants that: (a) It has full legal authority to enter into this Agreement; (b) This Agreement has been duly authorized by all necessary action; (c) The execution and performance of this Agreement does not violate any applicable law. 6. CANCELLATION / FORCE MAJEURE If the Event is cancelled due to circumstances beyond Organizer's reasonable control (including acts of God, governmental action, or public health emergency), Organizer shall refund the Sponsorship Fee within 60 days, less documented non-recoverable expenses. 7. INDEMNIFICATION Each party shall indemnify, defend, and hold harmless the other party from and against any claims, damages, or expenses arising from such party's breach of this Agreement or negligent or wrongful acts. 8. LIMITATION OF LIABILITY IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT. 9. CONFIDENTIALITY The terms of this Agreement are confidential and shall not be disclosed to any third party without the prior written consent of both parties, except as required by law. 10. GOVERNING LAW & JURISDICTION This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any dispute arising hereunder shall be resolved exclusively in the courts of Virginia Beach, Virginia. 11. ENTIRE AGREEMENT This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior negotiations, representations, and agreements. 12. ELECTRONIC SIGNATURES The parties agree that electronic signatures on this Agreement are valid, binding, and enforceable to the same extent as original handwritten signatures pursuant to the Virginia Electronic Transactions Act (Va. Code § 59.1-480 et seq.) and the Federal Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.). 13. ADDITIONAL TERMS None. IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
