Section 1 โ Parties to this Agreement
This Partnership Agreement is entered into by and between J M McMillan Enterprises, Inc. ("JMME"), operator of the Viable Arts Alliance, the National Association of Competitive Performing Arts (NACPA), and the Sound Achievement Foundation (SAF) โ collectively the "Partnership Organizers" โ and the above-named Institutional Partner ("Institution").

Section 2 โ Purpose & Scope
The purpose of this agreement is to establish the Institution as a Founding Institutional Partner of NACPA and an official co-presenting organization of the Virginia Beach Competitive Arts Festival (VB-CAF) 2027. This agreement governs the rights, benefits, responsibilities, and obligations of both parties with respect to participation in NACPA programming and VB-CAF 2027 events.

Section 3 โ NACPA Charter Membership โ Rights & Benefits
Upon execution of a Memorandum of Understanding (MOU), the Institution shall receive: (a) Permanent Founding Charter recognition in all NACPA governance documents, press materials, and digital platforms; (b) A seat on the NACPA Advisory Council for the Institution's designated department leadership representative; (c) NACPA-Certified status for all qualifying ensembles and programs, recognized nationally by festival circuits, grant-making bodies, and industry partners; (d) Access to the Sound Achievement Foundation (SAF) 501(c)(3) scholarship and arts grant funding pipeline; (e) Priority eligibility for VAHAS (Viable Arts Humanitarian and Achievement Society) award nominations for outstanding faculty and student performers; (f) Annual NACPA membership designation renewable without cost for the term of active participation.

Section 4 โ VB-CAF 2027 โ Event Participation Terms
The Virginia Beach Competitive Arts Festival shall be held March 26โ27, 2027 at the Virginia Beach Convention Center, Virginia Beach, Virginia. The Institution's participation includes: (a) THE INTENSIVE โ March 26, 2027: Faculty-led masterclass and clinic tracks. Faculty participants shall receive negotiated stipends. Participation qualifies toward professional development and community service hours as determined by the Institution's internal policies. The Institution shall host a Recruitment Booth at the College Networking Lunch (1:00 PM, March 26); (b) BATTLE OF THE ARTS โ March 27, 2027: Student ensembles and soloists compete and showcase under the APOLLO SPIโข Measurement System. The Institution shall receive a dedicated University Showcase performance slot. Individual student registration fees ($25/person) are waived for Founding Institutional Partner delegations; (c) The Institution's name, branding, and logo shall appear on all official VB-CAF marketing materials, event backdrops, digital programs, press releases, and the Viable Arts platform.

Section 5 โ APOLLO SPIโข Measurement & Performer Credentials
All competing performers affiliated with the Institution shall be measured under the APOLLO SPIโข (Sovereign Performance Index) Measurement System. Every score is derived from signals measured directly off the performer's own submitted media โ intonation in cents of deviation, pulse accuracy in milliseconds, dynamic range in decibels, ensemble attack spread, formation spacing, and observed motion continuity. Any dimension the medium cannot evidence is reported as UNMEASURED and is never assigned a number. Audience reaction, crowd volume, and viewer popularity are expressly excluded from the index, so that what is measured is the performer and not the room. Certified adjudicator commentary is retained in the performance record as qualitative context and does not alter the measured index. Each performer receives a permanent Performance Record comprising an Achievement score (execution quality), a Demand Index (measured difficulty of the material attempted), a composite SPI score, a stated confidence level, and BIAPโข Tier Certification. SPIโข, BIAPโข, and Originality Indexโข are trademarks of J.M. McMillan Enterprises, Inc., with registration pending.

Section 6 โ Financial Terms & Obligations
This partnership carries no direct financial obligation to the Institution. There are no registration fees, membership dues, or participation costs for Founding Institutional Partners during the inaugural 2027 term. Faculty clinician stipends are negotiable and shall be confirmed in a separate service agreement prior to March 26, 2027. Any travel, lodging, or transportation costs for faculty and student delegations are the responsibility of the Institution unless otherwise negotiated and documented in a supplemental MOU addendum.

Section 7 โ Media Rights & Broadcast
The Institution grants JMME and the Competitive Arts Entertainment Network (CAEN) the right to broadcast, record, stream, and archive performances by Institution-affiliated ensembles and soloists at VB-CAF 2027 for the purposes of live broadcast, pay-per-view distribution, highlight reels, promotional materials, and archival documentation. The Institution shall receive advance written notice of any specific commercial licensing of individual performances and retains the right to request exclusions on a case-by-case basis.

Section 8 โ Term, Renewal & Termination
This partnership agreement is effective upon execution of the accompanying MOU and shall remain in force through December 31, 2027, with automatic annual renewal unless either party provides written notice of non-renewal no fewer than 90 days before the expiration date. Either party may terminate this agreement with 60 days written notice. Termination does not affect the Institution's permanent Founding Charter recognition in historical NACPA records.

Section 9 โ Governance & Dispute Resolution
This agreement shall be governed by the laws of the Commonwealth of Virginia. Any disputes arising from this agreement shall first be addressed through good-faith negotiation between designated representatives of both parties. If unresolved within 30 days, disputes shall be submitted to binding mediation administered by a mutually agreed mediator in Virginia Beach, Virginia.

Section 10 โ Voluntary Participation & Non-Exclusivity
Participation in NACPA and VB-CAF 2027 is entirely voluntary. The Institution is not obligated to participate in any specific event, program, or activity as a condition of Founding Charter membership. This partnership is non-exclusive โ the Institution retains the right to participate in any other festival, competition, or professional organization at its sole discretion. NACPA membership does not replace, supersede, or conflict with any existing institutional affiliations.
