Section 1 — Parties to this Agreement

This Partnership Agreement is entered into by and between J M McMillan Enterprises, Inc. ("JMME"), operator of the Viable Arts Alliance, the National Association of Competitive Performing Arts (NACPA), and the Sound Achievement Foundation (SAF) — collectively the "Partnership Organizers" — and the above-named Institutional Partner ("Institution").

Section 2 — Purpose & Scope

The purpose of this agreement is to establish the Institution as a Founding Institutional Partner of NACPA and an official co-presenting organization of the Virginia Beach Competitive Arts Festival (VB-CAF) 2027. This agreement governs the rights, benefits, responsibilities, and obligations of both parties with respect to participation in NACPA programming and VB-CAF 2027 events.

Section 3 — NACPA Charter Membership — Rights & Benefits

Upon execution of a Memorandum of Understanding (MOU), the Institution shall receive: (a) Permanent Founding Charter recognition in all NACPA governance documents, press materials, and digital platforms; (b) A seat on the NACPA Advisory Council for the Institution's designated department leadership representative; (c) NACPA-Certified status for all qualifying ensembles and programs, recognized nationally by festival circuits, grant-making bodies, and industry partners; (d) Access to the Sound Achievement Foundation (SAF) 501(c)(3) scholarship and arts grant funding pipeline; (e) Priority eligibility for VAHAS (Viable Arts Humanitarian and Achievement Society) award nominations for outstanding faculty and student performers; (f) Annual NACPA membership designation renewable without cost for the term of active participation.

Section 4 — VB-CAF 2027 — Event Participation Terms

The Virginia Beach Competitive Arts Festival shall be held March 12–13, 2027 at the Virginia Beach Convention Center, Virginia Beach, Virginia. The Institution's participation includes: (a) THE INTENSIVE — March 12, 2027: Faculty-led masterclass and clinic tracks. Faculty participants shall receive negotiated stipends. Participation qualifies toward professional development and community service hours as determined by the Institution's internal policies. The Institution shall host a Recruitment Booth at the College Networking Lunch (1:00 PM, March 12); (b) BATTLE OF THE ARTS — March 13, 2027: Student ensembles and soloists compete and showcase under the APOLLO GNN™ Scoring System. The Institution shall receive a dedicated University Showcase performance slot. Individual student registration fees ($25/person) are waived for Founding Institutional Partner delegations; (c) The Institution's name, branding, and logo shall appear on all official VB-CAF marketing materials, event backdrops, digital programs, press releases, and the Viable Arts platform.

Section 5 — APOLLO GNN™ Scoring & Performer Credentials

All competing performers affiliated with the Institution shall be evaluated under the APOLLO GNN™ (Global Network Node) Scoring System — a proprietary tri-input evaluation model combining: (i) Certified physical judge scoring; (ii) In-venue live audience real-time ratings; (iii) Pay-per-view remote viewer ratings. Each performer shall receive a permanent Musical DNA Report Card, SPI (Sovereign Performance Index) Score, and BIAP™ (Baseline Institutional Arts Profile) Tier Certification — credentials recognized by NACPA member institutions and broadcast partners. Section 6 — Financial Terms & Obligations

This partnership carries no direct financial obligation to the Institution. There are no registration fees, membership dues, or participation costs for Founding Institutional Partners during the inaugural 2027 term. Faculty clinician stipends are negotiable and shall be confirmed in a separate service agreement prior to March 12, 2027. Any travel, lodging, or transportation costs for faculty and student delegations are the responsibility of the Institution unless otherwise negotiated and documented in a supplemental MOU addendum.

Section 7 — Media Rights & Broadcast

The Institution grants JMME and the Competitive Arts Entertainment Network (CAEN) the right to broadcast, record, stream, and archive performances by Institution-affiliated ensembles and soloists at VB-CAF 2027 for the purposes of live broadcast, pay-per-view distribution, highlight reels, promotional materials, and archival documentation. The Institution shall receive advance written notice of any specific commercial licensing of individual performances and retains the right to request exclusions on a case-by-case basis.

Section 8 — Term, Renewal & Termination

This partnership agreement is effective upon execution of the accompanying MOU and shall remain in force through December 31, 2027, with automatic annual renewal unless either party provides written notice of non-renewal no fewer than 90 days before the expiration date. Either party may terminate this agreement with 60 days written notice. Termination does not affect the Institution's permanent Founding Charter recognition in historical NACPA records.

Section 9 — Governance & Dispute Resolution

This agreement shall be governed by the laws of the Commonwealth of Virginia. Any disputes arising from this agreement shall first be addressed through good-faith negotiation between designated representatives of both parties. If unresolved within 30 days, disputes shall be submitted to binding mediation administered by a mutually agreed mediator in Virginia Beach, Virginia.
